AI Terms and Conditions

The following terms and conditions (“AI Terms”) govern the relationship between VoltPay AI, Inc., a Delaware corporation with its principal offices at 390 NE 191st St STE 8061, Miami, FL 33179, United States, and any of its affiliates (collectively, “VoltPay”), and the Clients and Users of VoltPay’s AI products and services.
These AI Terms are incorporated by reference into, and form part of, the Terms of Service. By accessing or using VoltPay’s AI Products and Services, you acknowledge that you have read, understood, and agree to be bound by these AI Terms.
The Terms of Service shall remain the governing terms for use of the VoltPay Platform. In the event of any conflict between the Terms of Service and these AI Terms, the Terms of Service shall prevail unless expressly stated otherwise.
“VoltPay’s AI Products and Services” refers to the artificial intelligence-based functionalities and tools made available through the VoltPay Platform, which users may utilize to access features, generate outputs, or perform specific actions, for decision-support and operational assistance purposes only, and not as a substitute for human judgment.
1. Definitions
1.1. “Account” means an account to access and use the Platform.
1.2. “Administrator” refers to Users with authority to manage an Account on behalf of a Business.
1.3. “AI” means artificial intelligence systems as defined under applicable AI laws, including Regulation 2024/1689 of the European Parliament and Council (the “EU AI Act”) and other applicable AI legislation.
1.4. “AI Agents” refer to AI agents provided by VoltPay or created by the Client that Users may direct to perform specific tasks, including generating content and executing operational tasks.
1.5. “Business” means any type of legal entity with an Account on the Platform.
1.6. “Clients” refer to Businesses that use VoltPay’s AI services or products.
1.7. “Content” means all content on or made available on the Platform or through the Services.
1.8. “Human-in-the-Loop (HITL)” means that a qualified human reviewer is required to actively oversee, review, approve, or intervene in AI-generated Outputs and Suggestions before they are finalized or acted upon, with the authority to modify, override, or reject such outputs.
1.9. “User” refers to any natural person who uses or is impacted by VoltPay’s AI products or services.
1.10. “Input” means any input (textual, visual, or other content) which Clients or Users provide to VoltPay’s AI Products and Services.
1.11. “Output” means any output (textual, visual, or other content) generated by VoltPay’s AI products and services and returned to the Client or User. Outputs also include actions taken by AI Agents.
1.12. “Suggestions” are non-binding recommendations, insights, or proposed actions generated by AI systems that require human review prior to implementation.
1.13. “AI Credits” means the prepaid units of usage allocated to a Client’s account, consumed when using VoltPay’s AI Products and Services. Each Subscription Plan includes a base allocation of AI Credits per account and per authorized user. Additional credits may be purchased in advance through the Platform’s auto-refill mechanism. All AI Credits must be paid for before use — VoltPay does not permit usage beyond a Client’s available credit balance. See the Terms of Service for full billing terms.
2. Using Our AI Products and Services
2.1. In using our AI Products and Services, Clients and Users must comply with all applicable laws, including employment, anti-discrimination, data protection, and consumer protection laws, as well as our Acceptable Use Policy.
2.2. In using our AI Products and Services, you must not:
- Upload or transmit any content that is illegal, harmful, discriminatory, abusive, or violates any intellectual property or privacy rights
- Use our Products and Services in a way that infringes, misappropriates, or violates anyone’s rights
- Modify, copy, lease, sell, or distribute any of our AI Products and Services
- Represent or claim that AI-generated Output was human-generated, or that such Output has been reviewed, approved, or endorsed by VoltPay
- Interfere with or disrupt our Services, including circumventing any rate limits, restrictions, or safety mitigations
- Share, disclose, or distribute any Outputs, Suggestions, Content, or related results to any third party, except as expressly authorized by VoltPay or as required by law
AI-generated Content, Outputs, and Suggestions are intended solely for internal use in connection with your engagement on the VoltPay Platform.
3. Client and User Responsibilities
3.1. When using VoltPay’s AI Products and Services, you acknowledge and agree that you are solely responsible for:
- Validating, interpreting, and reviewing any answers, recommendations, or insights provided by AI Products and Services prior to taking any action based on them
- Ensuring that inputs submitted are accurate, lawful, and appropriate
- Complying with all applicable laws and regulations arising from or in connection with your use of AI Products and Services, including AI governance, employment, anti-discrimination, data protection, and consumer protection laws
- Configuring any automated or downstream decision-making triggered by AI Agent Outputs and complying with all applicable regulatory obligations
- Refraining from using AI Products and Services as the sole basis for hiring, termination, or other employment decisions, and ensuring substantial human involvement in all such processes
4. VoltPay’s Responsibilities
4.1. VoltPay shall use commercially reasonable efforts to develop and maintain its AI Products and Services in accordance with responsible AI practices, prioritizing accuracy, privacy, security, safety, fairness, and transparency, aligned with applicable laws and industry standards.
4.2. VoltPay conducts internal reviews of its AI Products and Services to assess intended use, training data, and human-in-the-loop controls prior to deployment. This review process is repeated upon material changes.
4.3. VoltPay maintains internal documentation regarding the design, development, and risk assessment of its AI Products and Services. Nothing in this section constitutes a warranty of error-free operation.
4.4. VoltPay implements industry-standard technical and organizational measures to protect the confidentiality and integrity of Inputs.
5. Content and Intellectual Property
5.1. Outputs and Suggestions are generated on a non-exclusive basis. Similar or identical Outputs may be generated for other Clients and Users or for VoltPay’s own purposes. VoltPay retains all rights in and to its AI Products and Services, including models, algorithms, and improvements.
5.2. Outputs and Suggestions may be generated using third-party AI models, tools, or services, and may be subject to third-party intellectual property or proprietary rights. VoltPay does not guarantee the originality, ownership, or non-infringement of Outputs and expressly disclaims any liability arising from their use.
5.3. Outputs and Suggestions are provided solely for use in connection with the VoltPay Platform. You shall not share, distribute, or make AI Outputs available to any third party except as required by law or with VoltPay’s prior written approval. All AI Outputs remain confidential.
6. Data Privacy
6.1. VoltPay may collect and process your personal data in connection with your use of AI Products and Services, in compliance with all applicable data protection laws. All rights and obligations regarding personal data processing are governed by the Data Processing Addendum.

7. Developing, Improving, and Updating AI Products and Services
7.1. VoltPay does not use Clients’ or Users’ personal data to train AI models. However, VoltPay may use anonymized and aggregated platform usage data (data that does not directly or indirectly identify you) to improve our AI systems. All AI-driven data processing is conducted in strict compliance with applicable data protection laws and our Privacy Policy.
VoltPay maintains a strong commitment to fairness, accuracy, bias mitigation, non-discrimination, and security of its AI technologies. We maintain human-in-the-loop protocols where AI systems are regularly monitored, tested, and subject to human oversight.
8. Warranties and Disclaimers
8.1. VoltPay provides AI Products and Services on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, VoltPay disclaims all warranties regarding AI Products and Services, whether express or implied, including warranties of accuracy, merchantability, fitness for a particular purpose, and non-infringement.
8.2. VoltPay does not warrant that AI Products and Services will be uninterrupted or error-free, nor does it guarantee the accuracy, completeness, or reliability of any AI-generated Output or Suggestion. AI-generated Outputs and Suggestions may be inaccurate, misleading, biased, or incomplete (“hallucinations”). You acknowledge and accept these risks and are responsible for validating all Outputs and Suggestions before taking any action.
8.3. AI-generated Outputs and Suggestions are provided for informational purposes only and do not constitute legal, financial, tax, accounting, employment, regulatory, or other professional advice or representations by VoltPay. They are not a substitute for professional judgment.
8.4. VoltPay does not endorse any Content included in AI-generated Outputs. AI-generated Outputs may contain information inconsistent with VoltPay’s views and do not represent VoltPay’s official position.
8.5. VoltPay recommends maintaining Human-in-the-Loop measures for all AI-generated Outputs. You are responsible for verifying accuracy and suitability regardless of any guardrails or controls VoltPay may implement.
8.6. VoltPay does not represent or warrant that AI Agents comply with any regulatory requirement. All Outputs and actions taken by AI Agents are deemed to be actions taken by the Client.
9. Limitation of Liability
9.1. You remain fully responsible for reviewing, validating, and approving AI-generated Outputs and for any decisions based on such Outputs. VoltPay shall not be liable for decisions or automated actions taken without appropriate human review.
9.2. VoltPay will not be liable for any losses, damages, or claims arising from AI-generated Outputs, including omissions, errors, inaccuracies, hallucinations, or other limitations.
9.3. The limitations of liability set forth in the Terms of Service apply fully to the AI Products and Services.
10. Indemnification
10.1. You shall indemnify, defend, and hold harmless VoltPay and its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, fines, penalties, costs, and expenses (including reasonable attorney’s fees) arising out of:
- Your Inputs, including allegations of infringement of intellectual property, privacy, or other rights
- Your use of AI Products and Services or reliance on AI-generated Outputs in regulated, sensitive, or high-risk contexts
- Any employment or personnel-related decision made based on AI-generated Outputs, including claims of wrongful termination, discrimination, or violations of labor laws
- Any automated or semi-automated actions taken without required human review
- Failure to ensure compliance with applicable laws or your own internal policies
- Claims by third parties arising from inaccurate, misleading, or biased AI-generated Outputs
- Breach of these Terms or misuse of the AI Services
11. Governing Law and Dispute Resolution
11.1. These AI Terms will be governed and construed in accordance with the laws of the State of Delaware, United States.
12. Third-Party AI Providers
12.1. By using our AI Services, you agree to comply with applicable terms of service of each third-party AI provider. VoltPay makes no representations or guarantees regarding third-party AI services, including their training data, uptime, availability, performance, accuracy, or reliability, and disclaims all liability arising from third-party outages, errors, or AI-generated inaccuracies.
13. Termination
13.1. VoltPay reserves the right to immediately suspend or terminate access to AI Products and Services for any reason, including suspected fraudulent activities, abusive conduct, or violations of these AI Terms, with or without notice.
13.2. Suspension or termination shall not affect obligations intended to survive, including Sections on Content and Intellectual Property and Limitation of Liability.
